Welcome to OnOrder Inc., doing business as Opener ("the Platform"). By using the Platform, you agree to these Terms of Service. Please read them carefully.

1. Services Provided

We provide a wholesale CRM platform for consumer packaged goods (CPG) brands to manage their retail store relationships. The Platform includes store and order management, integrations with third-party platforms such as Shopify, AI-powered store classification and outreach recommendations, and data import tools. Additional services, such as outreach tools and full-service options, may be available.

2. Account and Use

You must provide accurate information when creating an account. Your use of the Platform is subject to compliance with these Terms. You agree not to: (a) Scrape, export, or misuse contact information or retailer data; (b) Share your account with others; (c) Engage in any activity that disrupts or harms the Platform.

3. AI-Powered Features

The Platform uses artificial intelligence to provide store classification, outreach recommendations, and analytical insights. AI-generated content is provided as a recommendation and should be reviewed before use. AI outputs may be inaccurate or incomplete — you are responsible for verifying any AI-generated content before acting on it.

4. Payments and Subscriptions

Subscription Plan: Access to the Platform is provided via a subscription billed monthly through Stripe. Fees are displayed at checkout.

5. Refund Policy

Early access users of the Platform will be eligible for a conditional refund, subject to mutually agreed performance metrics, within 60 days. For all other users, no refunds will be issued once a billing cycle begins. Users may cancel their subscription at any time, effective at the end of the current billing period.

6. Data and Privacy

Your use of the Platform is subject to our Privacy Policy. We collect personal data to provide our services, including account creation, payment processing, and third-party data synchronization.

7. Platform Limitations

The Platform is provided "as is" and may contain bugs or incomplete features. Data accuracy (e.g., retailer details, AI-generated recommendations) is not guaranteed. We are not liable for losses resulting from Platform downtime, errors, or user reliance on our data.

8. Termination

We reserve the right to suspend or terminate your account for violation of these Terms or misuse of the Platform.

9. Intellectual Property

The Platform and its contents, including all data, features, and branding, are owned by Opener. You may not copy, reverse-engineer, or redistribute any part of it.

10. Governing Law

These Terms are governed by the laws of Ontario, Canada, and disputes will be resolved in the courts of Toronto.

11. Updates to Terms

We may update the Terms of Service and revise the "Last Updated" date at the top. For material changes, we will notify you via email or on the Platform. By continuing to use the Platform, you accept the updated Terms. We encourage you to review this document periodically.
